Examinership, Receivership and Liquidation in Ireland

The collapse of the Irish economy has triggered a substantial increase in the number of companies in Ireland which are being deemed insolvent and which are no longer in a position to continue operating as viable entities. This has caused the companies directors, creditors and shareholders to seek remedies available under Irish law. The law in Ireland regarding companies in financial difficulties was originally set out by the Companies Act 1963, which was amended in 1990, and then again in 1999.All cooperate entities must adhere to the legislation set out under the Act and their individual memorandum of association and articles of association, which together constitute the constitution of a company. The principal remedies for dealing with insolvent companies are: 1. Examinership; 2. Receivership; 3. Liquidation. 1. The concept of examinership was introduced into Irish law by the Companies (Amendment) Act 1990. This legislation was enacted in order to provide companies which were in fi nancial difficulties with the chance of recovering and thereby avoiding liquidation.An examinership is where the court places a company under its protection to enable a court appointed examiner to assess the affairs of a company and consider whether it is capable of survival, and if so, puts forward proposals that will facilitate that continuation of business. The motivation behind the creation of this legislation was the prevention of the collapse of the Goodman Group. The aim of this legislation was to avoid liquidation of companies with a chance of recovering from financial difficulties.Forde and Kennedy opine that the immediate objective and consequence of the protection created by this legislation is to provide the company or companies in question with extensive immunity against its creditors and against claims being made against it. McCormack in his article â€Å"Control and Corporate Rescue† believes that this role was created as a response to changing political and bu siness dynamics in the l990s. The receivership model was seen as being too creditor centred and as not being sufficiently responsive to the concerns of other stakeholders.The feeling at the time, McCormack opined, was that â€Å"banks had pushed companies unnecessarily into insolvency by being unduly precipitate in the appointment of receivers. † The original legislation has been criticised in numerous respects, and so has been amended significantly by the CA 1999. Finlay CJ in the Supreme Court in Re Holidair Ltd, acknowledged the shortcomings of the legislation and held that it is appropriate to approach the construction of any sections in CA 1990 on the basis that the two objectives of the legislature were to provide a period of protection for a company and that a company should be continued as a going concern.The legislation was being used as a last attempt to save companies which were incapable of salvation. As John O’Donnell put it in his article ‘Nursing t he Corporate Patient – Examinership and Certification under the Companies Act, 1990’, â€Å"for many, it has been a painful experience to learn that the Act is designed to help cure the sick but cannot raise the dead. † Keane notes that the granting of the examiner is discretionary. A court may appoint an examiner where it appears that: a) A company is or is likely to be unable to pay its debts; (b) No resolution subsists for the winding-up of the company; (c) No order has been made for the winding-up of the company. Because of the effects of an examiner on a company, one should not be appointed without a real prospect of survival. Lardner J in Re Atlantic Magnetics Ltd advocated a strict test for â€Å"reasonable prospect of survival†. He was overruled by the Supreme Court, in favour of a requirement of â€Å"some prospect of survival†.Prior to the revision of CA 1990, the leading authority on the test for the appointment of an examiner was that S C decision in Re Atlantic Magnetics Ltd. The statutory revision of Section 2. 2 has effectively reversed that decision. The foregoing views are supported by the decision of the High Court in Re Tuskar Resources plc, which was the first written decision on the appointment of an examiner since the changes effected by CA 1999 were commenced. McCracken J began by analysing the changes effected to the test for the appointment.He said the new test was more in keeping with the decision of Lardner J in the High Court than with the decision in the Supreme Court – â€Å"In re Atlantic Magnetic†¦Finlay CJ also stated that there cannot be an onus of proof on a petitioner to establish as matter of probability that the company is capable of surviving as a going concern. It seems to me that this is no longer the position under the Act of 1999 by reason of the wording of the new sub-s 2(2). † He refused to appoint an examiner as the petitioner had failed to discharge the onus of proof that there was a reasonable prospect of the survival of the company.Although all petitions to have an Examiner appointed must be presented to the High Court, the HC may remit the matter to the Circuit Court under CA1990 Section 3. 9 where it appears that the total liabilities of the company, do not exceed â‚ ¬317,434. For the petition to be approved, the CA 1990 required a petition to have evidence of possibility of salvation but no detailed analysis of the company’s situation was required. This is another criticism of that Act. The petition to have an examiner appointed and the grounding affidavit must be made uberrimae fides, that is, in the utmost of good faith.What was first decided by Costello J in Re Wogans (Drogheda) Ltd has now been given statutory force by Section 4a CA 1990. Where it is discovered that the court has been misled, the entire application will be tainted. If this is discovered early in the proceedings, the examiner will be discharged where the lack of good faith is sufficiently serious. However, a lack of candour and good faith will not always result in a refusal to confirm an examiner’s proposals, as seem in Re Selukwe Ltd. There are no particular qualification requirements for an examiner. They can’t have been an officer of the company within the last 12 months.McCracken J held in Re Tuskar Resources plc that there was no bar on the person who provides the independent person’s report from acting as examiner. The person appointed is entitled to court-fixed remuneration and to costs. He can employ staff to assist or may use company staff. Section 10 CA 1990 provides that any liabilities incurred during the protection period are deemed to be legit examiner expenses. These liabilities would include new borrowing. Forde and Kennedy explain that the reason why the examiner may certify liabilities is that there may otherwise be a danger that the company’s survival as a going oncern may be prejudiced . Section 29 CA 1990 gave these liabilities and expenses priority over creditors where a scheme of arrangement was drawn up or a winding up ensued. This provision was one of the most criticised. It was deemed to subvert the whole lending process, as secured creditors lost priority. This had the potential to severely prejudice these creditors should examinership fail. Prior to the enactment of the 1999 Act, the duty of the examiner was to conduct an examination of the affairs of the company and report the results to the court within a specified period and to later present proposals and schemes of arrangement.Since the 1999 Act, that report is effectively replaced by the report of the independent accountant which must now accompany the petition. Accordingly, the duty of the examiner now is: (a) To formulate proposals for a compromise or scheme of arrangement; (b) To carry out such other duties as the court may direct him to carry out. The examiner must report to the court within 35 da ys informing then of any schemes formulated. If the court is then not satisfied, it can order the company be wound up as per Section 22 CA 1999. The examiner must meet with creditors and members to devise schemes of arrangement.The members and creditors are classed for the purpose of voting on schemes and these schemes are deemed to be accepted if the majority vote in favour from each class. Various classes can vote on the proposals, including the Revenue, etc. When these proposals go to the court, any creditor or member whose interests are impaired may be heard. If a party who was completely unaware of the proposed scheme can show that the examiner knew of his existence but failed to take reasonable steps to appraise him of the situation, he may possibly have a right of action against the examiner for damages.The court will not approve the proposals unless at least one class of creditors impaired by the proposals vote in their favour. As to the actual content of the proposals, the only requirement regarding the proposals’ intrinsic merits are that of equality within classes. Proposals must be fair and equitable and not unfairly prejudicial. The court may propose modifications to schemes and these must be voted on if significant. 2. Receivership arises in the context of secured debenture holders and provides a framework in which they may act so as to enforce their security interest.Forde and Kennedy observe that at times receivership is used not simply as a means of reimbursing creditors but more as a device for reorganising insolvent companies, so as to salvage their viable parts for the benefit of those involved. Courtney notes that the term derives from the Latin recipiere â€Å"to take†. The receiver will go to the company and take control of those assets subject to the charge. They can then dispose of those assets and pay off the principal and interest due to the debenture holder.Receiverships involve two distinct relationships as per Barr J in Bula Ltd v Crowley – â€Å"First, that between the appointing mortgagee and the receiver which relates to the fundamental objective of the receivership†¦The second relationship is that between the receiver and third parties arising out of the receivership†¦Ã¢â‚¬  The receiver is usually appointed by virtue of the debenture. The validity of the appointment of a receiver is dependent upon compliance with the terms contained in the debenture and the capacity of the company and authority of its officers to create the deb ab initio, that is, from the beginning.Courtney states that a creditor owes no special duty to a company in deciding whether or not to appoint a receiver. The fundamental issue for the debenture holder is whether or not the appointment will further their interests. However, where the appointment will not advance these interests, the appointment may be said to have been made in bad faith. The only qualifications that the law requires of receivers a re negative, i. e. certain persons are barred from becoming receivers, such as undischarged bankrupts and persons connected to or related to persons within the company, as per Section 170 CA 1990.In Wise Finance Co Ltd the court held that a company’s secretary was ineligible to act as that company’s receiver. A receiver appointed by debenture can resign with notice. The court also possesses an inherent power to appoint a receiver on application by a debenture holder. This occurs in instances where the debenture doesn’t provide for an appointment in a particular situation which has arisen. A receiver appointed by the court has the status of an officer of the court and can only resign with the authority of the court.Ellis noted that receivers, irrespective of the method of their appointment, are regarded as being in a ‘fiduciary' relationship with those who appointed them. A receiver is normally deemed to be the agent of the company by virtue of his appointm ent; however, the receiver’s primary duty is to the debenture holder. The receiver owes a fiduciary duty to the debenture holder and must conduct his receivership in good faith. The receiver is liable to the debenture holder in damages if he is negligent.The receiver is liable to the company where he is negligent in the sale of any of the company’s assets. Section 172 CA 1990 states that â€Å"a receiver, in selling property of a company, shall exercise all reasonable care to obtain the best price reasonably obtainable for the property at the time of the sale†. This gave statutory effect to the law in Ireland that a receiver should be required to ensure that he got the best price for an asset, even if a much smaller sum would realise his security, as accepted in Ireland in Lambert v Donnelly and McGowan v Gannon.It was observed by McCracken J in Ruby Property Company Ltd that this is simply a statutory acknowledgement of the position at common law. A receiver ca n’t be appointed after appointment of an examiner. If appointed in the 3 days prior to examiner appointment, he may be ordered to cease acting. 3. Liquidation terminates a company’s existence and distributes its assets in a preordained way. Carrie Jane Canniffe â€Å"Restraining a Creditor's Winding up Petition – The position since Truck and Machinery Sales Ltd v Marubeni Komatsu Ltd. , proffers the winding up process can be said to mark the formalised beginning of a company's end. There are two main forms of winding up; (a) By court order; (b) Voluntary. A voluntary winding up can be either a members’ winding up or a creditors winding up. Ussher observes that the only grounds upon which a company may be wound up by the court are stated in Section 213 of the Companies Act 1963. Two different types of grounds exist for the winding up of a company by the courts, procedural and substantive.Three different procedural grounds exist: (a) The company has resolv ed by special resolution to wind up the company. It was held in the case of Re Galway and Salthill Tramway Co. , that the board of directors may not cause it to do so without the benefit of an authorising or ratifying resolution in general meeting, or specific authority in the articles. (b) The company does not commence its business within a year from its incorporation or suspends its business for a whole year. Courtney notes this ground is rarely relied upon since only contributories, the Co itself and creditors may rely on it. c) The number of members is reduced, in the case of a private company, below two, or, in the case of any other company below seven. The most important grounds however, are those of the substantive grounds. Where; (a) The Company is unable to pay its debts. The CA 1990 provides that a company shall be deemed to be unable to pay its debts in certain circumstances: (a. 1) A creditor has not been paid a debt of â‚ ¬1000 or more within three weeks after demand ing it in writing; (a. 2) A judgment is unsatisfied; or (a. 3) It is proved to the satisfaction of the court that the company is unable to pay its debts.Keane comments that in deciding whether it has been proved that the company is unable to pay its debts, the court will generally act on evidence that a creditor has repeatedly applied for a payment without success. If, however, the company can show that there is a bona fide dispute as to the particular debt claimed, the order will not be made. Alison Keirse ‘Winding up petitions – Practical application of the Stonegate test’ observed that the decision in Re Pageboy Couriers Ltd adopted the decision of Stonegate Securities Limited v Gregory establishing this method of defeating a creditor's petition to wind up a company.However, as Courtney notes it is one thing to successfully dispute the bona fides of a debt at the hearing of a petition; even where successful, the company is exposed to a glare of adverse publici ty wherein its solvency is questioned. The first Irish case to consider an application for injunction relief against the advertisement of a petition was Clandown Ltd v Davis. Morris J held that the precise amount of the debt had to be declared before the court could order a winding up. Thus Morris J granted the injunction to restrain the publication of the petition.One result of this decision is to reinforce the principle that the courts will not permit themselves to be used as a method of debt collection. Howard Linnane ‘Oppression of Members: Section 205 Companies Act, 1963’ proffers that under the CA 1963 the court has jurisdiction to order the winding up of a company where it is ‘just and equitable’ to do so. Ussher proffers that in many cases such grounds are invoked where there is a complete deadlock between the shareholders and the company’s activities to the detriment both of the member and the creditors.The leading case is Re Yenidje Tobacco Co, the principle of which was applied in Re Irish Tourist Promotions. Kenny J wound up a company in which the two directors could not meet without the risk of unruly scenes, and the business of the company could not be conducted. In conclusion, while a company’s inability to pay its debts is the most common reason for the winding up of a company, it is not determinative. A court will only wind up a company where it is just an equitable to do so.Ultimately the appropriate remedy to be employed will be dependent upon the extent of difficulty the company finds itself. â€Å"There is of course some comfort for both companies and creditors alike that the Irish statutory framework at least contemplates solutions which draw back from the finality of ultimate dissolution of a company and facilitates interested parties a way forward through these recessionary times perhaps even to the benefit of all parties concerned. â€Å"

Riba’ and Gharar

Prohibition of Riba’ Generally Riba’ means that prohibition on any interest. In Islamic Finance system, investors and lenders are strictly disallowed to charge or receive interest. In the Shari’ah, â€Å"riba† technically refers to the premium that must be paid by the borrower to the lender along with the principal amount as a condition for the loan or for an extension in its maturity. According to Chapra (2006), term of riba is used in the Shari‘ah in two senses. The first is riba al-nasi’ah and the second is riba al-fadl..The term nasi’ah comes from the root nasa’a which means to postpone, defer, or wait, and refers to the time that is allowed to the borrower to repay the loan in return for the ‘addition’ or the ‘premium’. Hence riba al-nasi’ah is equivalent to the interest charged on loans While, prohibition of riba al-nasi’ah implies that the fixing in advance of a positive rate of retu rn on a loan as a reward for waiting and no difference whether the rate of return is small or big, or a fixed or variable per cent of the principal.It is important to note that, according to the Shari‘ah, the waiting involved in the repayment of a loan does not by itself justify a positive reward. Gharar is known as unacceptable risk taking which is another fundamental principle of Islamic finance central to the structuring transactions. It also can be considered some level of risk remains a fundamental aspect of commercial life and risk allocation a necessary component of Islamic finance; only disproportionate risk, speculative trading and transactions meeting exceeding limitations.According to Tabari (2011) gharar may rise from unacceptable levels of settlement risk, inadequate or inaccurate information and complex contracts where multiple transactions are not identifiable with multiple independent contracts. Besides, according to Iqbal (1999) Gharar in a contract arises whe re there is a lack of knowledge or there is a reasonable doubt about the control of either party to the contract over the completion of the exchange. The best example of gharar is gambling which have kind of unacceptable risk and gambling is disallowed in Islam.As a consequence, the major terms and conditions, such as the price, subject matter or time of delivery, must be determined when concluding the corresponding agreement. The main reason riba is prohibited because it prevents people from undertaking real economic activities. For example when a person having money is allowed to earn more money on the basis of interest, either in spot or deferred transactions, it becomes easy for him to earn without bothering himself to take pains in real economic activities.This leads to hampering the real interests of humanity, because the interests of humanity cannot be safeguarded without real trade skills, industry and construction. Therefore, to ensure the effectiveness of organization settings the male and female manager should know the role to be play. Sam Adams traveled throughout Massachusetts and the Colonies establishing what he called Committees of Correspondence and called for a formal separation from Britain. These Committees were designed to provide a superior communications system between the separate Colonies. Then, beginning in June 1772, a number of events took place which carried all Americans, whether they willed it or not, across the line from malcontent, to revolution, and eventual freedom. One evening in June, near the port of Providence, in Rhode Island the British schooner Gaspee grounded herself and was set upon by a group of Colonists who put ashore English crew and then burn her to the waterline. In the following months Virginia and a number of other colonies establish official Committees of Correspondence in order to keep other colonies appraised of English activities in their respective lands. In May the English passed the Tea Tax, granting a virtual monopoly to the East India Tea Company in order to bail it out of debt and thereby avoid a massive domestic economic tragedy. The tea is not only taxed higher than before, but now the East India Tea Company is able to price gouge without any threat of competition or governmental retribution. All over America, mass meetings are held in regard to what should be done about the tax. Following two meetings in Boston where Royal Governor Hutchinson orders the citizenry to pay the tea tax. On the night following the second meeting, Sam Adams an a number of his followers attacked the tea freighters in Boston harbor. Disguised as Native Americans, they overpowered the crews and threw their loads of tea into Boston harbor. This event was to become known as the Boston Tea Party. In Annapolis, Maryland a similar event occurred resulting in the burning of both ships and cargoes. (â€Å"Prelude to Revolution†The American Pageant) In response to the Boston Tea Party, an enraged parliament passed the Intolerable Acts of 1774. They were designed to punish the whole of Massachusetts, and especially Boston. Worst of all was the Boston Port Act which closed Boston harbor until the lost cargoes were paid for and order was fully restored to the city. Coinciding with the ratification of the Intolerable Acts was the passing of the Quebec Act. The Quebec Act was a skilled move by the English to appease the conquered French in Canada. It allowed them to retain their old customs, the Catholic Religion, and gain large tracts of land extending all the way south to the head of the Ohio River. In French Quebec, it was not expected that people would be able to elect legislative assemblies nor that a jury would be hired for civil cases, the British kept this aspect of the French-Canadian government and was seen by the Quebeckers as just and fair. To the Americans who valued their juries, suffrage, western lands, and often despised Catholicism, it was seen as yet another attack on them and their liberties. It seemed clear in the Colonies that the time for action had arrived. (â€Å"Prelude to Revolution† The American Pageant â€Å"The Revolutionary War†) On March 5, 1770, a mob of Bostonians harassed Red Coat guards outside a customs house and when the harassment became unbearable, a soldier opened fire and the others followed suit. This event, the Boston Massacre, inspired one of the most effective pieces of patriotic propaganda that were becoming popular in newspapers. Paul Revere created an engraving depicting that night showing how brutal the Red Coats were, although it was the colonists who instigated it. These propagandas were important because they influenced the common beliefs of what would define patriotic Americans. The Bostonians were against the new Tea Act, which put a heavy tax on tea. One night, a group called the Sons of Liberty led by such patriots as Samuel Adams, Paul Revere and John Adams, dressed up like Indians a dumped 342 chests of tea into Boston Harbor. This famous night called the Boston Tea Party infuriated the British government who demanded that Massachusetts pay for the lost tea. When Massachusetts refused, Britain punished Boston with the Intolerable Acts. The ports of Boston were shut from any ships coming or going. The town meetings were forbidden. Boston was put under martial law and any soldier who misbehaved was to be sent to England to be tried because Britain thought they would not get fair trial in America. The Americans perceived this as the Englishmen getting away with their wrong doings because they were unlikely to be convicted in London. The Americans began to call George III a tyrant. The Sons of Liberty were the first to talk about separation and were the biggest threat to British sovereignty. They began to lose a respected connection with England and would rather govern themselves like Mather Byles who would prefer to be ruled by his own countrymen (black, j 1994). Within a month after Boston was shut down, Virginia contacted the other colonies to meet in Philadelphia. Five people were killed by British soldiers, and Britain’s harsh military tactics also angered the colonists, because even those who were not involved in revolutionary tactics were accused of rebelling against the British. The Boston Massacre exemplifies how British military measures backfired and allowed the colonists to gain a sense of unity in working towards a common goal of independence. Therefore, militarization was also a factor which led colonists to the outbreak of war with Britain, and help towards the dispute between the Britain and its American colonies. The boston tea party led to the so first Continental Congress. Fifty-six delegates assembled at Philadelphia and talked about the issue with Boston. The colonies gathered supplies to be sent and help relieve the citizens of Boston (Black, J 1994). This was a sign of unity and concern for their fellow colonies. During the Continental Congress, the delegates wrote another Declaration of Right and Grievances asking that all laws passed by Parliament after 1763 be repealed. George III wouldn’t even receive the document though. They also began to prepare their military by organizing their militias, gathering weapons and training men. They also established the Continental Association which would not trade with Britain. The American were uniting against there new common foe and becoming Americans (David, D 1990). In the events that led up to the revolution, a sense of unity was definitely acquired, but an American identity was not as prevalent. Although there was a strong opposition to the British government, it did not represent the entire population of the American colonies. Colonists felt the British were trying to take the power away from their colonial assemblies to govern them. They were also angry because they believed they should not be taxed simply to raise revenue for Britain. Therefore, in conclusion, I think that rhetoric of liberty and representation were the predominant issues in the dispute between Britain and American colonies, between 1763 to 1776. Who was to blaim for the boston tea party and the ensuing masacre is up for debate. However, other factors also had an important part, but all of the other factors which have been looked at above, always angered the American colonies because they felt these factors took away the colonists liberty, and felt that it wasn’t fair for Britain to have such control over them if the colonies had no representation. The Role Of Tourism In Our Modern World Tourism may be further defined as the movement of people away from their normal place of residence (J. Christopher Halloway, 1998) This definition describes tourism as an action to see something new or different from daily life. The tourism industry is constantly growing and the economics of some countries are mainly based on it. Tourism can be seen in association with a lot of different factors like visitors attractions and hospitality. This essay will deal with the multi-disciplinary nature of tourism as well as the Travel and Transport and especially on the railways industry. Furthermore will it focus on the history and the current practice in the railway industry. Tourism is multi-disciplinary. One of its natures are Visitors attractions. J. Christophe Holloway and Neil Taylor described Visitor Attractions as followed. So we must accept that no clear definition exists for the term. It is easiest just to accept that any site that appeals to people sufficiently to encourage them to travel there in order to visit it should be judged a `visitor attraction`. (J. Christopher Holloway and Neil Taylor,2006) They can be categorized by factors like being built with a touristic purpose or being built with no touristic background. Examples of attractions which had during their construction no touristic purpose are The Eiffel Tower in the Paris and the Little Mermaid Statue in Copenhagen. These attractions attract in our modern world millions of tourist to Paris or Copenhagen. These examples are the best proves that attractions can be build without a touristic hidden thought. The tourists visiting a attraction need an accommodation in case they are not day-tripper. The accommodation sector can be divided in the non-profit and the profit sector. The non-profit includes the visiting friends and relatives, which are still very important for tourism even though they are not spending any money on accommodation as tourists will still spend money throughout their stay in the area of interest. This category also includes hostels which do not try to make a profit. The second sector has to make a profit to survive. This sectors comprises BB, hotels and campings. Transportation is also part of the tourism because it brings the tourists to attractions and accommodation. The most common transportation method is nowadays the plane. Other ways which are to consider are the coach or the train. The train was over the last decades suffering with falling numbers of passengers but seems now to be on the right track. Water-borne transport can be seen as a form of transportation which includes ferries or as a place of relaxation also on ocean liners which is getting more and more popular in the recent years. Travel trading changed in the last few years. Travel agencies are used to be the place where every tourist has to book his holiday. In our modern society, a lot of people are using the internet for bookings. They leave the local travel agent out and book their holiday directly by the tour operator or by the coach company online. The travel agents reacted by creating online platforms as Expedia.co.uk which are in direct competition to tour operators. Every holiday booking saves the workplace of several employees working in the travel industry. The money spend, has also an effect on the local economy as an the travel destination. An example, which illustrates this, is a holiday booked over the internet in the UK. One the hand, the tour operator or the online travel agency benefits in their UK head office. On the other hand, the local population at the destination profits from it. This example shows that people all over are making profit from holiday or a travel booked. The historic development of the travel and transport sector is quite impressive. It all started when people from Egyptian were travelling to visit other cities, their culture and architecture. Unfortunately was the end of the Roman Empire at the same time the end of travel in his earliest form. People had to wait till the 16th century before starting travelling again(?). People at that time had tree possibilities to travel. One of them was walking, which was dedicated to poor people. The second one was riding a horse which was for richer people. Last but not least, carrier wagons or a litter were the other possibilities to travel. In the 19th century was a big change for the travel and transport industry as it resulted in a revolution for this industry. In the early part of the century, the invention of the railway had a great impact on travelling. The time of travel was reduced massively and people were able to travel in less than 10 days from London to Edinburgh(Quote). The first r ailway segment was opened in the UK in 1825 between Stockton and Darlington, from then on a lot of different train routes were opened in the upcoming years all over the world. The last great line was opened 1903 in Russia between Moscow and Vladivostok. The number of passenger was growing. The railway was much more comfortable and faster than the ordinary travel by road or on canal. Their success was created in a short period of time because of its reliability and was soon the most important method of transport. Thomas Cook was involved in the success of the train due to his usage of the railway as a way to bring tourists to their holiday destinations. Later, in the early 19th century the private railway companies were not able to handle the enormous costs. Most of the companies were in serious financial trouble. The only solution to save these companies was the involvement of the governments. Most of the countries in Western Europe were so dependent from their national railways com panies that they were not able to afford the bankruptcies of these companies. The trouble for the railways companies was not over after their nationalization. The development of new transport possibilities after the Second World War like the plane brought the railway industry in new trouble. In the 1960ties more and more people were using coaches and their private car to go on holiday. The railway industry had no appropriated answer to these new ways of travel and followed their same old strategy. Nowadays, the railway industry changed a lot . At the end of the 20th century most of the railways services all over Europe were denationalized. The private owners made them more competitive. The denationalization was indeed good for the industry but mainly for the customer because prices get more competitive. Todays marketing concepts like party trains from London to the French Alps and discounts for people over 55 are used to attract people and to persuade them to travel with trains. A major trend can be seen all over the world to use high speed trains like the TGV and the ICE in Europe and the Shinkasen in Japan. The railway industry is catching up with new features to make the journey more comfortable for their passengers. In todays world passengers are able to obtain WIFI connections and audio entertainment services. These features are currently spreading in different forms of transport but are not available on all routes when it comes to for exapmle WIFI connection in trains. Nevertheless will WIFI be the norm in a few years time as well as video screens in the backseat with possibilities to game or to watch videos during your travel. The railway stations are not only placse of leaving and arriving trains but they are getting more and more places which have shops in it. (Mintal ,2008) One of the examples to illustrate this statement can be found in Scotland more preciously in Aberdeen. The shopping Centre gives the possibility to go from the centre itself to the railway station. Another example is the Hauptbahnhof in Berlin where you can find all sort of shops. The railway industry is getting more and more innovative to attract and to persuade more people to see trains as an alternative to coaches, planes or cars. Another trend, which is getting more and more popular, is the nostalgia of the trains. Alone in the UK there are several old trains running regularly as the Scotsman. The travel time varies from only a few hours to several days like The Ghan in Australia which is travelling between Melbourne and Sydney. These trains are normally extremely luxurious and are targeting old people. There are three major trends in the future. One trend is to have high-speed trains which have a lot of multimedia features. Another future ambition is to operate trains on historical routes with all desirable luxury amenities. Currently the most recent trend is to convert normal railway stations to a sort of shopping centres. The travel industry changed over the last years. They changed with new possibilities as the world wide web. The travel industry is in a permanent change to be up-to-date and to come up with new ideas. The railway industry, which suffered over the last four decades due to mismanagement and falling passenger numbers, also changed. Their denationalization had a positive effect on the whole industry which can be seen every day. As it was already mentioned earlier on, the industry is getting more innovative to catch up their arrears to other industries like the airline industry and the coach industry.

Is Modern Britain An Unequal Society? Britain is often described as an unequal society however the accuracy of this statement is regularly debated because; the term inequality is very vague as individuals often have opposing views when searching for the meaning. Due to the ambiguity of the word unequal I am going to be approaching the question is contemporary Britain an unequal society from a sociological perspective in order to best describe and explain social inequalities in Britain. The term social inequality from a sociological point of view means a lack of fairness between different groups of people living in society. Through this definition we are able to identify three main categories, in which social inequalities are divided, this occurs through gender, class and race which will be highlighted throughout my essay. The main focus of my essay would be based on the Marxist and Feminist views as they set the foundations to best describe and explain social inequalities. However, there are other sociologists whom also study this topic; therefore I will be examining their views very briefly. Another form of social inequality that occurs in Britain is class inequalities; it is difficult to define this because in contemporary society class is fragmented. However, in order to fully understand class inequalities the concept must be operationalised. There are various sociologists such as Carl Marx who define class inequalities as a group of people who stand in a common relationship to the means of production. Although class is often perceived as a dynamic, fluid, always changing, in Britain there is still a clear class structure in which class is divided. This class structure is often compared to a pyramid which consists of three levels; these are the upper class, middle class and working class, this arrangement is known as social stratification, whereby each level of the formation has distinguishing features in terms of skills, status and income. The upper class consist of a small proportion of members of Britains population; these groups of people tend to have ascribed stat us such as the royal family. However members of the upper class with achieved social status are professionals with high status jobs such as property owners and employers. The middle class are employed in profession, managerial and administrative jobs for example lawyers, these groups of people are often described to have an intermediate class situation. The working class consists of the highest proportions of people in Britains population, the working class members are found at the bottom of the hierarchy, they have the low status jobs which include a complex division of labour. People from the working class groups tend to consist of unskilled workers who participate in manual labour. Although there are the three main layers in Britains class structure is divided the idea of the underclass also needed to be highlighted. This concept is developed by Charles Murray and is often used to describe a segment of the population located at the very bottom of the class structure in which they are marginalised from the rest society. Members of the underclass have very low living standard, they are thought to be relatively deprived therefore explaining why they have the highest rates of infant mortality. The majority of members in the underclass are unemployed and relay on the welfare state, as a result of this dependency the idea of the nanny state was developed. In correspondence to the idea of the nanny state these recent trends show that the top 10% earners get 27.3% of all earning whilst bottom 10% get 2.6%. This trend highlights that there is an unequal distribution of wealth as income is an important mechanism which measures a persons wealth, this therefore shows that social inequalities takes place in contemporary Britain. Marxist sociologist uses these figures to then develop their idea further. They argue that Britain is a capitalist society, whereby the bourgeoisies exploit the working class in order to benefit themselves. The process of industrialisation cause d capitalism to develop further because Britain has moved from a manual intensive form labour to a more capital intensive labour as a result of this development British is often refer to this as industrial capitalism. There is also a clear relationship between class inequalities and education. For example the educational system in Britain has been changed on several occasions in order to prevent inequalities between different social groups i.e. the increase in government expenditure in education allows people from deprived backgrounds to complete higher education for free therefore creating more employment opportunities for them. However, despite these changes class inequalities still exists in the educational system, for example the curriculum is said to have hidden engenders in which favours the ruling class. The reason for this is because the curriculum is made by the upper class therefore favouring upper class pupils for example English exams requires pupils using the elaborated code which is a form of speech which the upper class use therefore giving them a competitive advantage as the working class use the restricted code, this view is also reinforce by sociologist Bernstein. Another common feature of the working class background is material deprivation; as a result of this they are at a drawback in comparison to upper class pupils as they are unable to purchase resources such as extra text books to further increase their knowledge. There are also other areas such as housing and health that put the ruling class at an academic advantage. Another area in which social inequalities arises is through racial segregation. Race was traditionally referred to as fixed biological differences; however over the years this definition has been criticised. As a result of this contemporary sociologist defined race as a social construct based on the observed physical and cultural characteristics of an individual. Race is a term closely linked to ethnicity as ethnic groups are defined by their sense of sharing distinct culture. Ethnic minorities are also said to experiences inequalities, however due to the difficulty in separating the two terms I will be explain how racial and ethnic inequalities should be best described ant see if it still exists in contemporary Britain. There is a general idea that there is a racial division between black and white in Britain, it is argued that ethnic minorities have a minority status in society and are often perceived as second class citizens. However, in certain areas of Britain this type of socia l inequalities has been prevented because of legislations such as equal opportunities acts which protect ethnic minorities from being discriminated against giving them the same opportunities as the dominating groups. Despite the implementation of this legislation, covert racism still takes place. The concept that corresponds with this is institutional racism, where racionalised ethnic groups are systematically disadvantaged, it was recently highlighted in the media (BBC news) that institutional racism still occurs in contemporary Britain within the police workforce, the Macpherson report on the Stephan Lawrence case also show institutional racism taking place. The amount of ethnic minorities that have an established status in the political party is disproportionately imbalanced in comparison to the majority therefore suggesting that overt race/ethnic inequalities occur in British society. Although social inequalities still exist in contemporary Britain other parts of the world such as America are slowly developing, this was shown when the current president Barack Obama was elected. In Britain there is a negative racial stigma attached to African Caribbean families, one of the main reasons is because they have the highest proportion of single parent families. New right sociologist Charles Murray holds a strong view which states that single parent families are the main causes of deviant behaviour and the breakdown of society. On the other hand some sociologist argue due to the rapid technological growth in Britain the media has exaurate crimes that take place within the African- Caribbean community therefore leading to deviancy amplification as a result of this therefore policing within those area have been on the increase meaning they are more prone to getting caught for their crimes in comparison other ethnic groups. It is evidently clear that social inequality still exists in contemporary Britain; however different sociological perspectives explain social inequalities many ways and opposing views on its impact on society. For example functionalist have a positive view on social inequalities, they see it as an enviable part of society, this is because there are different social positions in society which require particular skills therefore, through theses inequalities the correct role allocation are set therefore benefiting society in the long run. Whereas, both Marxist and feminist theories have a more negative approach on social inequities and the effect it has on society. They believe that it has lead to an increase in exploitation of members in society therefore leading to social breakdowns. On the other hand post- modernist take a very different approach as they have a more contemporary view as they believe that the British society is changing as a result of this it is incorrect to say that social inequalities means one thing or social inequalities still exists because it is a complex phenomenon. Therefore in order to fully understand social inequalities we must take the three categories in which social inequalities has been divided into and identify the correlations which they have with one another because social inequalities means different to different people.

TABLET PCs Combines Simplicity of Paper with Full Power of Windows-Based Computing For the past few years, the Personal Digital Assistant (PDA) has grown tremendously popular. However, due to size restrictions, it has always served as a secondary device to the desktop computer. So a number of hardware manufacturers unveiled a new form of communication, the Tablet PC. What exactly is a Tablet PC? It is a notebook PC with a touch-sensitive screen and is a bit larger than the size of a sheet of paper. Tablet PCs will have two formats: the "convertible" model with an integrated keyboard and a display that rotates 180 degrees that can be folded down over the keyboard, and the "slate" style with a removable keyboard. It allows users to save their written input either as images or as converted text. It is very similar to a PDA, only larger and more powerful, and weighs less than today's laptops yet is fully configured for PC operations and Internet applications. By combining the best qualities of a PDA and laptop, the Tablet PC can be used in applications where a lap top would be too bulky, and a PDA would not be powerful enough. In the past, field service workers with mobile devices tended to have only one application on their device. With the Tablet PC operating system, they can connect and use many more applications. A long-cherished goal for technology visionaries and computer designers, the Tablet PC will represent the next major evolution in PC design and functionality. While retaining the full power to run all existing Windows-based software applications, the Tablet PC expands enterprise computing to address previously unmet needs, such as the ability to take notes at meetings, annotate existing electronic documents and ... ...ning up businesses to the world, the use of a Tablet PC will be even more beneficial when sharing information across continental lines. The Tablet PC platform has established itself as one of the computer industry’s most promising innovations. Free from cables and keyboard, the Tablet PC provides a compact, easily portable device which is both stylish and ultimately practical. It has all the power to run common productivity applications anywhere and all the graphics performance to maximize the Internet experience. Moreover, with the widespread and increasing adoption of WLAN connection technology, Internet browsing and e-mail are becoming more accessible. Although at the moment, the Tablet PC technology is still in its infancy, the ever improving technology will make Tablet PCs more user friendly and practical which brings us one step closer to a paperless society.

Theodore Geisel was born in Springfield, Massachusetts on March 2, 1904. He graduated from Dartmouth in 1925, with a BA in English literature. He went to Europe after to study at Oxford. He then went to Sorbonne and then to the University of Vienna. He planned on getting a doctorate in literature, but the experience was less than ideal so he returned to the United States. (LeBeau 20)   Ã‚  Ã‚  Ã‚  Ã‚  In 1927 Geisel married Helen Palmer who was a classmate of his from Oxford. She was also a children’s author, until her death in 1967. (Diehl 169)   Ã‚  Ã‚  Ã‚  Ã‚  Theodore started working for a magazine, Judge, in 1927. He worked there doing cartoons and humorous ads for them. He was also submitting his work to other magazines such as Life, Vanity Fair, and Liberty. In his ads he made a reference to an insecticide called Flit, which were noticed and led to a tight contract to draw ads for Flit. The contract said he couldn’t do anything else. In his ad he used the saying â€Å"Quick Henry, The Flit!†. He did that for 17 years, which gained him national exposure. He only did that in the summer though, since insecticide is a seasonal thing. He went to an attorney and found that the only thing his contract didn’t forbid him to do was children’s books. (Diehl171)   Ã‚  Ã‚  Ã‚  Ã‚  Geisel’s first children’s book came about in 1936 when he was on vacation in Europe. He was listening to the rhythm of the ship’s engines, he came up with â€Å"And to think I saw it on Mulberry Street.† It was rejected by 43 publishers that he showed it to. Eventually a friend published it for him and it went on to at least moderate success.
